Terms of Service

These terms govern use of sipnayanlabs.com and engagements with Sipnayan Labs IT Solutions, a software studio based in the Philippines.

The site

This website describes our studio and how to reach us. Content is for information. A project starts only when both parties agree in writing (proposal, statement of work, or contract).

Services

We design and build tailored-fit software systems for clients. Scope, timeline, fees, and acceptance are set in the written agreement for that engagement. Work is professional services and custom software — not a one-size consumer product.

Intellectual property

Until invoices for a milestone are paid, we retain rights in the work we create. On payment, the client receives the license or assignment described in their agreement. Third-party tools and open-source components keep their own licenses.

Liability

The site is provided as-is. For project work, our liability is limited as stated in the signed agreement, and in any case will not exceed fees paid for the relevant milestone. We are not liable for indirect or consequential loss.

Governing law
